1. Wholesale Eligibility

Wholesale accounts are available only to legitimate, verifiable businesses.

To apply, you must provide complete and accurate business information, including:

-legal business name
-legal business address
-business social media
-any other information reasonably requested for verification

Wholesale is not available for:

-personal use purchases
-unverified businesses
-home-based aestheticians or service
providers whose business cannot be verified
-businesses or individuals not aligned with Adipeau Inc. brand values or wholesale criteria

Adipeau Inc. reserves the right to approve or reject any wholesale application at its sole discretion.

2. Minimum Order Quantity

The minimum wholesale purchase is 10 full-sized products per order.

Full-sized products include:

-regular size products
-back bar size products

Sample sizes and travel pack sizes do not count toward the minimum order quantity unless otherwise stated.

3. Back Bar Size Products

Back bar sizes are intended for professional use only.

They may not be:

-purchased for retail resale
-sold to consumers for personal use

Back bar products are strictly reserved for professional treatment or in-clinic/professional use, where applicable.

4. Authorized Sales Channels

Wholesale customers may sell Adipeau Inc. products only through their own verified business channels.

The sale of Adipeau Inc. products on any other marketplace, resale or online platform not owned or operated under the same name as your business is strictly prohibited, including but not limited to:

-Amazon
-eBay
-Etsy
-Walmart Marketplace
-any other marketplace or resale platform not owned and operated by your business

5. Retail Pricing Policy

To preserve brand integrity, wholesale customers may not advertise or sell Adipeau Inc. products below the full retail price listed on the official Adipeau website for:

-Volume Cream
-Strength Gel
-Intro Bundle

Adipeau Inc. may occasionally offer promotions, subscriptions, or special offers on its own website. These offers do not apply to third-party wholesale customers unless expressly authorized in writing.

6. Payment Terms

We accept payment by:

-credit card
-bank transfer

For credit card payments, delayed payment options such as Klarna or Afterpay may be available, subject to eligibility and provider terms.

For bank transfer payments:

-payment must be received before the order is processed
-proof of payment must be sent to hello@adipeau.com
-delayed payment is not available

Orders will not be processed until payment has been confirmed.

7. Shipping Information

It is the customer’s responsibility to provide a complete and accurate shipping address at checkout.

Please review all shipping details carefully before placing your order. Adipeau Inc. is not responsible for delays, losses, or additional charges resulting from incorrect or incomplete shipping information.

Any additional costs caused by address errors, returned shipments, customs, duties, taxes, or re-delivery will be the responsibility of the customer.

8. Returns

Due to product integrity and expiry-date considerations, wholesale orders are generally final sale.

Returns will only be considered in the case of:

-defective products
-client reactions to a product, provided the reaction has been assessed by the purchasing professional and reported with sufficient supporting information

Returns will not be accepted because:

-products did not sell
-too much stock was purchased
-demand was lower than expected
-products are no longer wanted
-products are nearing expiry

Your business is solely responsible for its own operations, stock planning, sales performance, and promotion of the products to clients.

Adipeau Inc. may request photos, batch numbers, written documentation, or return of the product before approving any replacement, refund, or credit.

9. Account Compliance

Adipeau Inc. reserves the right to suspend, disable, or terminate a wholesale account if these Terms & Conditions are not respected.

This includes, but is not limited to:

-misuse of back bar products
-unauthorized resale channels
-pricing violations
-inaccurate or unverifiable business information
-conduct not aligned with Adipeau Inc. brand values

10. Right to Refuse Service

Adipeau Inc. reserves the right to deny, revoke, or discontinue wholesale access at any time if an account is found to be ineligible or not aligned with the company’s standards, values, or wholesale requirements.

11. Updates to These Terms

Adipeau Inc. reserves the right to amend these Terms & Conditions at any time. The most current version published on the wholesale page will apply.
